Terms & Conditions

1. Rights

We reserve full permissions to use both the completed Video, as well as any Raw Footage shot in the Production of the Video, in any form for the purpose of Company promotion.

2. Copyright

We retain full Copyright Ownership of both the Completed Video, as well as any Raw Footage shot in the Production of the Video.

3. License

The Client is entitled to use the Video as outlined in an accompanying Licensing agreement with the us. Further Licensing rights outside of the agreed-upon perimeters of the initial Licensing Agreement can be purchased from us at any time.

4. Creative Freedom

While it is our ultimate goal to create a creative and entertaining Video to the Client’s satisfaction, we reserve the right to total control over any creative decisions pertaining to the style and implementation of all footage filmed for the purpose of the Video, so long as the implementation fits with in the agreed-upon Video Description.

5. Corrections and Additional Edits

Upon completion of the Video, we agree to grant One additional editorial pass of the Video, requested within 14 days of Delivery, to ensure Client’s satisfaction. This additional pass is free of charge, so long as the request does not represent a fundamental change in the initially agreed-upon Video Description, nor requires additional filming.

After the initial additional edit, the Client may request a Second edit free of charge, so long as the requested edits require no more than Three Hours to implement and are requested within 7 days of the first edit’s Delivery. This includes the correction of any information provided incorrectly by the Client.

Additional edits can be requested by the Client, but are subject to an additional fee based upon the nature of the requested edits.

6. Changes to the Production Schedule

If the Date(s) of Productions is changed at the request of the Client, the change must be made Two Weeks in advance, and the Client agrees to pay compensation for any additional expenses caused by the rescheduling, including but not limited to: additional project expenses, lost crew wages, location or equipment rental fees, and lost work opportunities/wages.

7. Cancellations

In the event of a Cancellation by the Client, we retain the deposit and are potentially owed an additional fee as described below:

If Cancellation is made within Seven Days of Production: $150

If Cancellation is made within 48 Hours of Production: 25% of the agreed-upon Payment Sum.

If Cancellation is made within 24 Hours of Production: 50% of the agreed-upon Payment Sum.

If Cancellation is made After Production is completed: 50% of the agreed-upon Payment Sum.

8. Force Majeure

In the event of us being unable to attend the Date of Production due to illness, injury, etc. we will endeavor to provide or recommend the Client with a suitable replacement Video Production Company.

We shall not be liable in the event of bad weather or unforeseen circumstances, including illness, from preventing them from completing the Video.

In the event of equipment failure beyond our control, including theft of equipment or material, we are not liable for refund or compensation, but will try to appease the Client using any available recorded material. In the unlikely event of a total video failure, liability shall be limited to a refund of monies paid other than the deposit.

9. Venue and Location Limitations

We agree to do everything within our power to create a Video fitting of the Video Description, including the suggestion of filming locations and circumstances. However, our efforts are limited to the limitations of the requested Venue or Location of Production. As such, we are not liable for any any compromises forced to be made by the present conditions, including but not limited to: venue rules and regulations, weather, available filming angles, and lighting possibilities.

The Client also agrees to be responsible for obtaining permission from the Venue or Location to film there, and are responsible for any additional fees required to do so. We then agree to provide any necessary releases to protect both Parties after having received permission.

10. Risk and Safety Limitations

We reserve the right to cease filming or editing if situations arise that are unfit to continue, eg. grounds of safety, legality, mistreatment, offensive or abusive behavior, or unacceptable working conditions. In these instances, we are not liable for refund or compensation.

11. Liability

We shall have no liability to the Client for any loss, damage, costs, expenses, or other claims for compensation arising from any materials supplied by the Client to us or instructions supplied by the Client which are incomplete, incorrect, inaccurate, or illegible, or arising from their late arrival or non-arrival, or any other fault of the Client’s.

12. Equipment

We agree to supply any necessary production equipment or materials necessary for the completion of the Video. As such, the Client agrees not to manipulate or handle any of the supplied production equipment or materials including but not limited to: cameras, tripods, lighting equipment, or microphones. In the event of a suggested move in equipment, we agree to take into consideration the Client’s request, and suggest conditions for optimum effectiveness.

13. Client Confidentiality

We agree to not disclose any confidential trade or company secrets of the Client that are disclosed over the course of the completion of the Video.

14. Independent Contractor

It is understood that our status under this Agreement is that of an independent contractor and that all persons engaged by us in performing its obligations shall not be deemed employees of the Client.

15. Assignment

We reserve the right to assign or sub-contract any or all of the rights and obligations under these terms and conditions without further consent of the Client to such assignment or sub-contract.
